Contract key terms summary

This summary highlights key terms from Andela's Master Service Agreement (MSA). It's a guide only for your convenience and doesn't replace the MSA. Always read your full agreement and ask questions before signing an engagement. If you have any questions, our support team is here to help! 

Topic What you need to know
Devices Bring your own device (BYOD). Your laptop or desktop must meet our minimum requirements.
Subcontracting You can’t hire anyone else to do your work unless Andela gives written approval.
Contract length Your main contract, the Master Service Agreement (MSA), stays in effect until you or Andela end it. Each project has its own Statement of Work (SoW).
Payment Paid monthly, on the 5th for the previous month’s work, via third-party vendors.
Time off No paid time off or employee benefits. You must log any time off on Andela Pay.
Trial period The first 15 business days are a trial for each engagement with a new client. The termination during the Trial period is effective immediately. 
Ending projects Either side can end a project with 30 days notice. You’ll be paid for work done up to the end date.
Confidentiality Keep all client and contract info private. Don’t share your rates or contract terms with clients.
Non-compete For 12 months after a project ends, don’t work directly for the client or refer others to them.
Intellectual property Anything you create for a client belongs to the client or Andela.
Background checks Andela does basic checks for all talent. Some clients may require more detailed checks.
Taxes & benefits You’re responsible for your own taxes and insurance. Andela does not provide employee benefits.
Restricted regions We can’t work with talent living in countries on the OFAC list. Some countries require you to join as a business entity.
Liability You’re responsible for your own actions, taxes, and following the contract.
Governing law New York law (USA) applies to your contract with Andela.
Misconduct Unprofessional behavior or fraud can lead to immediate termination and loss of payment.
